Terms of Use

These Terms govern access to the Lazward Studios website, client portal, and admin console (together, the "Service"). By creating an account or using the Service you agree to these Terms, the Privacy Policy, and the User Agreement.

1. Who we are

Lazward Studios is a B2B software studio. The Service is a billing hub and control plane: it manages client relationships, subscriptions, plans, and invoices for software products ("verticals") that run on their own infrastructure — currently Sennak (dental clinics), HotelIraqi (hospitality), and Anaqa.

The contracting and merchant entity for paid services is Lazward Inc., a Delaware (USA) corporation. Until online billing is activated, Lazward Inc. accepts no online payments through the Service and the studio team operates the Service; sales are concluded by direct agreement ("Contact sales").

2. Accounts

Accounts are for businesses and their authorized representatives. You must provide accurate information, keep credentials confidential, and be at least 18. You are responsible for activity under your account.

Creating an account requires accepting the current version of these Terms, the Privacy Policy, and the User Agreement. If we materially change any of them, you will be asked to accept the new version before continuing to use the portal.

3. The Service is a control plane

The portal shows billing state — subscriptions, plans, invoices, account standing. The vertical products themselves (your clinic, hotel, or store system) run separately, hold their own operational data, and are governed by their own product agreements.

Entitlement changes (for example, a plan upgrade) are transmitted to the relevant vertical over a signed, audited synchronization channel. We never write to a vertical's database except through that channel.

4. No online payments (current state)

Online payment, checkout, and card processing are disabled in the Service. Every purchase path leads to "Contact sales". When online billing is activated in the future, payment processing will be handled by Stripe as payment processor for Lazward Inc., and these Terms will be versioned accordingly; you will be asked to accept the update.

5. Acceptable use

You may not: probe, scan, or test the vulnerability of the Service except with written permission; attempt to access another client's data; forge tokens, tamper with signed links, or replay requests; resell or sublicense access; use the Service to violate law or third-party rights; or interfere with the Service's operation (including rate-limit evasion and automated scraping of non-public surfaces).

6. Content and IP

The Service, its design, and its content are owned by Lazward and its licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the Service for your business. Data you submit remains yours; you grant us the license needed to operate the Service (store, process, display it to your authorized users).

7. Availability and changes

We aim for high availability but the Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. We may modify or discontinue features with reasonable notice for material changes affecting paid functionality.

8. Liability

To the maximum extent permitted by law, Lazward is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability for claims arising out of the Service is limited to the greater of USD 100 or the amounts you paid us for the Service in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.

9. Termination

You can stop using the Service and request account deletion at any time (see Account deletion). We may suspend or terminate accounts that violate these Terms, create security risk, or are required to be terminated by law. Billing records are retained after termination as described in the Privacy Policy.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. If you contract with a local Lazward affiliate under a separate signed agreement, that agreement's law and venue control for that contract.

If any provision of these Terms is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
